Broker Referral Agreement

By completing this registration, you agree to Arcadia Brasilito's Broker Referral Agreement terms and conditions.

1. Approval Developer reserves the right to determine whether a referred client is already in the Developer's database or has previously been in contact with the internal sales team. If so, the referral is null and void and no commission will be owed.
2. Referral Fee — Existing Client If the referred client has a prior relationship with the Developer's internal sales team, a reduced fee of 0.75% may apply at the Developer's sole discretion.
3. Seller The selling entity is Nautica Brasilito Beach LLC S.R.L., a company duly organized under the laws of the Republic of Costa Rica.
4. Closing Commission becomes payable upon execution of the deed of transfer (escritura de traspaso) by both parties.
5. Term This agreement is effective for 12 months from the Effective Date. A fully executed Purchase and Sale Agreement (PSA) must be in place within this period for commission rights to apply.
6. Commissions — Earned & Survival Commission is considered earned upon execution of a fully executed PSA. The Referring Broker's right to commission survives any termination of this agreement, provided the PSA was executed during the term.
7. Invoices Commission invoices must be submitted electronically by the Referring Broker. Payment will be made within 30 working days of receipt of a valid invoice and confirmation of closing.
8. Taxes & Deductions All commissions are payable net of applicable taxes. Wire transfer fees and any banking charges are borne by the Referring Broker.
9. Change in Employment Commissions are paid to the Referring Firm, regardless of any change in employment status of the individual agent who originated the referral.
10. Non-Assignability This agreement and any rights hereunder may not be assigned or transferred by the Referring Broker without the prior written consent of the Developer.
11. Entire Agreement This agreement supersedes all prior discussions, representations, and understandings between the parties. Any amendments must be made in writing and signed by both parties.
12. Governing Law & Arbitration This agreement is governed by the laws of the Republic of Costa Rica. Any disputes shall be resolved through binding arbitration under the rules of CICA (Centro Internacional de Conciliación y Arbitraje) of AmCham Costa Rica.
